General Terms and Conditions

1. General Agreement

1.1 Nature of Agreement: These General Terms and Conditions govern the provision of serviced offices, private offices, co-working facilities, virtual office services, meeting rooms, business support solutions, and related services provided by TASEES Commercial Service SPC (“TASEES”) to the Client within TASEES Business Centre in the Sultanate of Oman.

1.2 Flexible Workspace Arrangement: At all times, the Business Centre, including all offices, meeting rooms, common areas, facilities, equipment, and related spaces, shall remain under the sole ownership, possession, supervision, and operational control of TASEES. The Client expressly acknowledges and agrees that this Agreement constitutes a contractual service arrangement only and does not create or grant any tenancy interest, leasehold estate, ownership right, commercial lease, or any other real property interest in favor of the Client.

1.3 Professional Business Environment: TASEES is committed to maintaining a premium, secure, and professional business environment for all occupants and visitors within the centre. The Client agrees to conduct its business operations in a professional, ethical, respectful, and cooperative manner that preserves the reputation, operational standards, comfort, and business continuity of the centre.

1.4 Operational Policies: The Client agrees to comply with all operational procedures, security requirements, health and safety measures, visitor management requirements, and reasonable instructions issued by TASEES from time to time.

1.5 Client Information: The Client shall maintain accurate and updated company information, including authorized signatories, email addresses, contact numbers, and emergency contact information for official communication purposes.

1.6 Availability of Services: If TASEES is unable to provide the agreed office space or services due to operational, technical, regulatory, or force majeure circumstances, TASEES reserves the right to provide alternative accommodation or services of similar or higher standard.

1.7 Automatic Renewal: This Agreement may automatically renew for successive periods unless either party provides written notice of termination within the agreed notice period.

1.8 Non-Renewal Rights: TASEES reserves the right not to renew this Agreement by providing written notice to the Client.

2. Term, Termination, and Vacating

2.1 Commencement and Duration: This Agreement shall commence on the agreed commencement date and continue for the agreed contractual term unless terminated in accordance with this Agreement.

2.2 Flexible Early Termination: TASEES may, at its sole discretion, permit early termination without penalty where reasonable business circumstances exist, including relocation, restructuring, or cessation of operations.

2.3 Immediate Suspension or Termination: TASEES may suspend services or terminate this Agreement immediately if:

  • (a) the Client fails to settle outstanding payments;
  • (b) the Client breaches any material provision of this Agreement;
  • (c) the Client engages in unlawful or unethical activities; or
  • (d) the Client negatively impacts the Business Centre or its occupants.

2.4 Vacating the Premises: Upon termination or expiry of this Agreement, the Client shall immediately vacate the premises and return all facilities, access cards, keys, furniture, and equipment in substantially the same condition as originally provided, subject to reasonable wear and tear.

2.5 Restoration and Repairs: TASEES reserves the right to undertake any cleaning, repair, restoration, maintenance, or reinstatement works necessary to restore the premises to its original condition.

2.6 Remaining Property: Any items remaining within the premises after termination may be removed, stored, or disposed of by TASEES at the Client’s risk and expense.

3. Use of the Business Centre

3.1 Permitted Use: The Client shall use the premises strictly for lawful and professional business activities.

3.2 Restricted Activities: The Client shall not conduct retail operations, manufacturing, storage activities, political activities, or any activity causing excessive disturbance without prior written approval from TASEES.

3.3 Use of TASEES Name and Address: The Client shall not use the name, logo, address, or identity of TASEES for registrations, advertisements, licensing, governmental submissions, or public purposes without prior written approval.

3.4 Visitor and Security Management: TASEES reserves the right to implement visitor registration procedures, access controls, identification requirements, and security procedures.

3.5 Professional Conduct: The Client and its employees, contractors, guests, and visitors shall maintain professional conduct at all times.

4. Operations and Facilities

4.1 Right to Reassign Space: TASEES reserves the right to relocate the Client to alternative office space of similar or higher standard where reasonably necessary for operational purposes.

4.2 Access to Premises: TASEES may access the Client’s allocated premises for inspection, maintenance, repairs, cleaning, security checks, or emergency purposes.

4.3 Shared Facilities: Meeting rooms, lounges, kitchens, parking areas, and common facilities are shared spaces intended for collective use.

4.4 Reception and Administrative Services: Reception, hospitality, mail handling, and administrative services shall be provided on a reasonable and best-effort basis.

4.5 Emergency Contact Information: The Client shall provide at least one emergency contact person authorized to communicate with TASEES regarding urgent operational or emergency matters outside normal business hours.

4.6 CCTV and Security Monitoring: The Client acknowledges that certain common areas within the Business Centre may be monitored by CCTV cameras and security systems for operational and security purposes in accordance with applicable laws.

5. Alterations, Installations, and Damage

5.1 Alterations and Modifications: No fit-outs, structural works, installations, electrical modifications, signage, partitioning, or alterations may be carried out without prior written approval from TASEES.

5.2 IT and Telecom Installations: No routers, servers, telecom systems, networking infrastructure, or technical cabling may be installed without prior written approval.

5.3 Responsibility for Damage: The Client shall remain fully responsible for any damage caused by the Client, its employees, contractors, or visitors.

5.4 Restoration Obligations: Upon expiry or termination, the Client shall restore the premises to its original condition unless otherwise agreed in writing.

6. Technology, Internet, and Data Protection

6.1 Internet and Connectivity: TASEES shall use reasonable efforts to provide stable internet and communication services but does not guarantee uninterrupted availability.

6.2 Technical Interruptions: Technology-related services may be affected by maintenance works, technical failures, utility interruptions, cybersecurity incidents, or events beyond reasonable control.

6.3 Cybersecurity Responsibilities: The Client remains solely responsible for protecting its systems, passwords, devices, confidential information, backups, and cybersecurity infrastructure.

6.4 Data Protection: Both parties shall handle confidential information and personal data in accordance with applicable laws and recognized data protection practices within the Sultanate of Oman.

6.5 Business Continuity: TASEES shall use reasonable efforts to maintain operational continuity and minimize disruptions wherever reasonably possible.

7. Fees, Payments, and Financial Terms

7.1 Service Fees: The Client agrees to pay all applicable service fees, utility charges, administrative fees, government-related charges, and additional services in accordance with agreed payment terms.

7.2 Security Deposit: The Client shall pay a refundable security deposit equivalent to one (1) month of the agreed service fee. The deposit shall be held without interest.

7.3 Use of Security Deposit: TASEES may deduct unpaid invoices, damages, penalties, legal costs, repair costs, restoration expenses, or outstanding liabilities from the security deposit.

7.4 Payment Obligations: All invoices issued by TASEES shall be payable on or before the stated due date.

7.5 Late Payments: Late payments may result in penalties, suspension of services, restriction of access, or termination of this Agreement.

7.6 Additional Services: Additional services requested outside the agreed package shall be charged separately.

7.7 Fee Revisions: TASEES reserves the right to revise fees periodically based on operational costs, inflation, market conditions, or facility upgrades.

8. Liability, Insurance, Force Majeure, and Risk Management

8.1 Limitation of Liability: To the maximum extent permitted by law, TASEES shall not be liable for indirect, incidental, consequential, or special losses including loss of profit, business, contracts, reputation, or data.

8.2 Force Majeure: TASEES shall not be liable for delays, interruptions, or failures resulting from events beyond its reasonable control including natural disasters, governmental actions, utility failures, internet outages, pandemics, labour disputes, civil disturbances, technical failures, or force majeure events.

8.3 Client Property: All equipment, valuables, inventory, electronic devices, and belongings brought into the Business Centre remain entirely at the Client’s risk.

8.4 Insurance: The Client is strongly advised to maintain adequate insurance coverage for its operations, employees, assets, and liabilities.

8.5 Indemnification: The Client agrees to indemnify and hold harmless TASEES and its representatives against liabilities, damages, claims, penalties, losses, or expenses arising from the Client’s use of the premises or breach of this Agreement.

9. Confidentiality, Compliance, and Ethical Standards

9.1 Confidential Information: Both parties acknowledge that they may receive confidential, commercial, financial, operational, technical, or proprietary information relating to the other party.

9.2 Non-Disclosure: Neither party shall disclose confidential information to third parties without prior written consent unless required by law or governmental authority.

9.3 Protection of Information: Both parties shall implement reasonable measures to protect confidential information from unauthorized access, misuse, or disclosure.

9.4 Survival of Confidentiality: Confidentiality obligations shall remain valid for three (3) years following termination or expiry of this Agreement.

9.5 Compliance with Laws: The Client shall comply with all applicable laws, regulations, licensing requirements, labour laws, tax obligations, municipality requirements, and health and safety regulations within the Sultanate of Oman.

9.6 Ethical Business Conduct: The Client shall conduct all activities ethically and in compliance with anti-bribery, anti-corruption, and anti-money laundering laws.

9.7 Governmental Cooperation: TASEES reserves the right to cooperate with governmental, judicial, regulatory, or law enforcement authorities where required by law or official instruction.

10. General Legal Provisions

10.1 Assignment and Transfer: This Agreement is personal to the Client and may not be assigned or transferred without prior written approval from TASEES.

10.2 Independent Relationship: Nothing in this Agreement shall create any partnership, joint venture, agency, employment relationship, or fiduciary relationship between the parties.

10.3 Entire Agreement: This Agreement constitutes the complete agreement between the parties and supersedes all prior discussions or understandings.

10.4 Amendments: TASEES reserves the right to amend these General Terms and Conditions where reasonably necessary for operational, legal, or commercial purposes.

10.5 Severability: If any provision is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect.

10.6 Governing Law and Jurisdiction: This Agreement shall be governed by the laws of the Sultanate of Oman and subject to the exclusive jurisdiction of the courts of Muscat.

10.7 Notices and Communications: All notices, approvals, invoices, requests, or communications may be delivered through email, courier, hand delivery, or approved written communication methods.

11. TASEES Service Commitment

11.1 Premium Business Environment: TASEES remains committed to providing a premium business environment combining professionalism, operational excellence, hospitality, flexibility, and modern infrastructure.

11.2 Integrated Business Solutions: TASEES aims to provide clients with integrated business solutions including office services, co-working facilities, PRO services, business support, and company facilitation services.

11.3 Commitment to Excellence: TASEES continuously strives to maintain high operational standards, responsive support, and professional facilities that enhance the Client’s business operations and professional image.

11.4 Client Experience Commitment: TASEES is committed to maintaining a responsive, professional, and client-focused operational approach while supporting the Client’s business requirements efficiently and professionally.

12. House Rules

12.1 General Conduct: All Clients, employees, contractors, and visitors shall maintain professional and respectful conduct within the Business Centre.

12.2 Access and Security: Clients shall comply with all access control procedures, security requirements, and identification requirements established by TASEES.

12.3 Cleanliness: Clients shall maintain their offices and allocated spaces in a clean and professional condition.

12.4 Noise and Disturbance: Clients shall not create excessive noise, strong odors, or disturbances affecting other occupants.

12.5 Smoking and Prohibited Materials: Smoking, illegal substances, hazardous materials, and dangerous goods are prohibited except where permitted by applicable regulations.

12.6 Internet and IT Usage: The Client shall use internet and IT services responsibly and lawfully.

12.7 Shared Facilities: Meeting rooms and shared facilities shall be used respectfully and in accordance with operational procedures.

12.8 Guests and Visitors: The Client remains responsible for the conduct of its visitors and guests.

12.9 Common Areas: Parking areas, corridors, entrances, and emergency exits must remain clear and accessible.

12.10 Food and Beverage: Food and beverages may only be consumed in designated areas approved by TASEES.

12.11 Compliance with Building Regulations: Clients shall comply with all building management policies, municipality regulations, civil defense requirements, and health and safety requirements.

12.12 Amendments to House Rules: TASEES reserves the right to amend House Rules where reasonably necessary for operational, legal, safety, or security purposes.

13. Enforcement and Costs

13.1 Recovery of Outstanding Amounts: TASEES reserves the right to recover unpaid invoices, damages, legal expenses, penalties, restoration costs, and outstanding liabilities arising under this Agreement.

13.2 Enforcement Costs: The Client shall be responsible for reasonable legal fees, court costs, collection expenses, and enforcement costs incurred by TASEES.

13.3 Suspension of Services: TASEES may suspend services, restrict access, deactivate access credentials, or withhold facilities where the Client breaches this Agreement or fails to settle outstanding payments.

13.4 Access Card and Key Replacement: The Client shall pay a replacement and administrative fee of Five Omani Rials (OMR 5) for each lost, damaged, stolen, or replacement access card or key.

14. Governing Law and Jurisdiction

14.1 Governing Law: This Agreement shall be governed, interpreted, and enforced in accordance with the laws of the Sultanate of Oman.

14.2 Jurisdiction: Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the competent courts of Muscat, Sultanate of Oman.

14.3 Continued Performance: Unless otherwise directed by a competent authority or court, both parties shall continue performing their obligations during the resolution of any dispute to the extent reasonably possible.
